Terms of Service

Please read these terms carefully before using Vexelon's services.

1. Acceptance of Terms

By accessing or using Vexelon Cybersecurity's ("Vexelon," "we," "us," or "our") website and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

Vexelon provides cybersecurity solutions including but not limited to managed security operations, incident response, penetration testing, security consulting, and related services. The specific scope of services will be defined in individual service agreements.

3. User Eligibility

Our services are intended for business and organizational use. By using our services, you represent that you are at least 18 years old and have the authority to enter into these Terms on behalf of your organization.

4. Account Registration and Security

You may be required to create an account to access certain services. You are responsible for: • Maintaining the confidentiality of your account credentials • All activities that occur under your account • Notifying us immediately of any unauthorized access • Providing accurate and complete registration information We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

5. Acceptable Use Policy

You agree not to: • Use our services for any illegal or unauthorized purpose • Attempt to gain unauthorized access to our systems or networks • Interfere with or disrupt the integrity or performance of our services • Transmit malware, viruses, or malicious code • Violate the security or integrity of any network, computer, or communications system • Misrepresent your identity or affiliation • Reverse engineer, decompile, or disassemble any part of our services

6. Intellectual Property Rights

All content, materials, trademarks, service marks, trade names, and other intellectual property on our website and in our services are owned by or licensed to Vexelon. You may not use, copy, reproduce, or distribute any content without our prior written consent. Client data and reports provided as part of our services remain your property, while our methodologies, tools, and processes remain our intellectual property.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of our engagement. This includes: • Security vulnerabilities and assessment findings • Business strategies and operational information • Technical data and system configurations • Personally identifiable information (PII) Confidentiality obligations survive termination of services.

8. Service Level and Availability

While we strive to maintain 99.9% uptime for our monitoring services, we cannot guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible. We are not liable for service interruptions caused by: • Force majeure events • Internet service provider failures • Client infrastructure issues • Third-party service disruptions

9. Fees and Payment

Service fees are specified in your service agreement. Payment terms include: • Invoices are due within 30 days unless otherwise specified • Late payments may incur interest charges • We reserve the right to suspend services for non-payment • All fees are non-refundable unless stated otherwise • Prices are subject to change with 60 days notice

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: • Our total liability shall not exceed the fees paid for services in the 12 months preceding the claim • We are not liable for indirect, incidental, consequential, or punitive damages • We do not guarantee complete prevention of security breaches or attacks • Our liability is limited to the scope of services explicitly contracted This limitation applies regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise.

11. Warranties and Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. However: • Services are provided "AS IS" without warranties of any kind • We do not warrant that our services will prevent all security incidents • We disclaim all implied warranties including merchantability and fitness for particular purpose • You acknowledge that cybersecurity is an evolving field and no solution is 100% foolproof

12. Indemnification

You agree to indemnify and hold harmless Vexelon, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: • Your violation of these Terms • Your misuse of our services • Your violation of any law or third-party rights • Unauthorized access to your systems by third parties

13. Termination

Either party may terminate services: • With written notice as specified in the service agreement • Immediately for material breach of these Terms • Immediately if the other party becomes insolvent Upon termination: • You must cease using our services and materials • We will return or destroy your confidential information as requested • Outstanding fees remain due and payable • Certain provisions (confidentiality, intellectual property, limitation of liability) survive termination

14. Legal Compliance and Export Controls

You agree to comply with all applicable laws and regulations. Our services and technology may be subject to export controls. You agree not to export, re-export, or transfer our technology in violation of applicable laws.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or website notice. Continued use of our services after changes constitutes acceptance of modified Terms. We recommend reviewing these Terms periodically.

16. Dispute Resolution and Governing Law

These Terms are governed by the laws of North Macedonia, without regard to conflict of law principles. Any disputes shall be resolved through: 1. Good faith negotiation between parties 2. Mediation if negotiation fails 3. Binding arbitration as a final resort You agree to attempt resolution through these methods before initiating litigation.

17. General Provisions

• Entire Agreement: These Terms, together with your service agreement, constitute the entire agreement between parties • Severability: If any provision is found unenforceable, remaining provisions remain in effect • Waiver: Failure to enforce any right does not constitute a waiver • Assignment: You may not assign these Terms without our consent • Force Majeure: Neither party is liable for delays caused by circumstances beyond reasonable control • Notices: All notices must be in writing and sent to the contact information provided
